Terms of Service

The agreement between you and Great Developers Info Tech Pvt Ltd for the use of TheDocs.

Template pending legal review. This document is a working draft and must be reviewed by counsel before launch. Do not rely on it as a binding contract in its current form.

These terms govern your use of TheDocs. Please read them - particularly the sections on your content, acceptable use, fees, and limitation of liability.

1.Who these terms are with

TheDocs is operated by Great Developers Info Tech Pvt Ltd, a company registered in India with its office at C 110, Sector 65, Noida 201301, Uttar Pradesh ("we", "us", "TheDocs").

By creating a workspace, signing in, or using any part of the service, you agree to these terms on behalf of yourself and the organisation you represent ("you"). If you do not agree, do not use the service.

2.The service

TheDocs is a hosted platform for authoring, reviewing, publishing and searching documentation. The specific features available to you depend on the plan you subscribe to, as described on our pricing page.

We may add, change or remove features. Where a change materially reduces the functionality of your plan, we will give you at least 30 days' notice and you may cancel for a pro-rata refund of any prepaid, unused period.

3.Your account

You are responsible for the accuracy of your account details, for keeping credentials secure, and for all activity that occurs under your account.

You must tell us promptly if you believe an account has been compromised. We may suspend access where we reasonably believe an account is being used to breach these terms or to harm the service or others.

  • You must be at least 18 years old and able to enter into a binding contract.
  • One person may not share a single author seat with another person.
  • You are responsible for the conduct of users you invite to your workspace.

4.Your content

You keep all rights in the content you upload, create or publish through TheDocs. We claim no ownership.

You grant us a limited licence to host, store, reproduce, transmit, index and display your content for the sole purpose of operating the service for you - including generating search results and AI answers within your own workspace. This licence ends when you delete the content or close your account.

You are responsible for having the rights to the content you publish, and for ensuring it does not infringe third-party rights or breach applicable law.

5.Acceptable use

You may not use TheDocs to do any of the following, or to help anyone else do them:

  • Publish content that is unlawful, infringing, defamatory, or that discloses personal data you have no right to share.
  • Attempt to gain unauthorised access to the service, another customer's workspace, or the underlying infrastructure.
  • Circumvent plan limits, rate limits, or seat counts by technical means.
  • Resell or provide the service to third parties except under a written partner agreement with us.
  • Use automated means to place unreasonable load on the service or its AI features.

6.Fees and payment

Fees are as set out on our pricing page or in your order form, and are exclusive of taxes. Subscriptions renew automatically for the same term unless cancelled before the renewal date.

Upgrades take effect immediately and are charged pro rata. Downgrades take effect at the end of the current billing period. Late payment may result in suspension after written notice.

Our refund position is set out in the Refund Policy, which forms part of these terms.

7.Availability and support

We aim to keep TheDocs available at all times but do not guarantee uninterrupted service except where an uptime commitment is stated in an Enterprise order form.

We may carry out planned maintenance. Where it is likely to cause downtime we will give notice in advance through the status page and, for Business and Enterprise customers, by email.

8.Data protection

Our handling of personal data is described in the Privacy Policy. Where we process personal data on your behalf as a processor, our Data Processing Agreement applies and is available on request.

You choose your data residency region when your workspace is created. We will not move your content to another region without your written agreement.

9.Confidentiality

Each party will keep the other's confidential information confidential, use it only for the purposes of this agreement, and protect it with at least reasonable care. This does not apply to information that is public through no fault of the receiving party, independently developed, or required to be disclosed by law.

10.Intellectual property

We keep all rights in the TheDocs platform, including its software, design, trade marks and documentation. Nothing in these terms transfers those rights to you.

If you send us feedback or suggestions, we may use them without obligation or compensation to you.

11.Warranties and disclaimers

We warrant that we will provide the service with reasonable skill and care. Beyond that, and to the fullest extent permitted by law, the service is provided "as is" without further warranties.

AI-generated answers are produced from your own published content. You are responsible for reviewing the accuracy of your content and of any answer you rely on. We do not warrant that AI output is free from error.

12.Limitation of liability

Neither party excludes liability for death or personal injury caused by negligence, fraud, or anything else that cannot lawfully be excluded.

Subject to that, our total aggregate liability arising out of or in connection with this agreement is limited to the fees you paid in the 12 months before the event giving rise to the claim.

Neither party is liable for indirect or consequential loss, loss of profit, loss of goodwill, or loss of data where that data could reasonably have been recovered from an export you were able to take.

13.Suspension and termination

You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period.

We may terminate or suspend for material breach that is not remedied within 14 days of written notice, or immediately where the breach cannot be remedied or where continued use presents a security risk.

On termination, you may export your content for 30 days. After that we delete it in line with our published retention schedule.

14.Changes to these terms

We may update these terms. Where a change is material we will give at least 30 days' notice by email and by notice in the product. If you do not accept the change you may cancel before it takes effect and receive a pro-rata refund of any prepaid, unused period.

15.Governing law and disputes

These terms are governed by the laws of India. The courts at Noida, Uttar Pradesh have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court.

Before starting proceedings, each party agrees to raise the issue in writing and to attempt resolution in good faith for 30 days.
